Abstract
İşçilere yönelik hisse senedi opsiyon planlarıyla, belirlenen koşulları ve/veya bekleme süresini tamamlayarak bedelsiz bir şekilde ya da daha önce tespit edilen genellikle düşük bir bedel üzerinden işçisi olduğu ya da şirketler topluluğu bünyesinde yer alan başka bir şirketin hisse senetlerini elde etme imkânı tanınmaktadır. Hisse senedi opsiyon planlarının işçilere tanınmasının en temel nedenlerinden biri, nitelikli iş gücünü elde tutmaktır. Bununla birlikte işçilerin şirketten hisse edinmelerine ilişkin düzenlemeler Türk Ticaret Kanunu’nda yer almakta olup, iş ve sosyal güvenlik hukuku açısından çözülmesi gereken sorunlarla karşılaşılmaktadır. Bu nedenle mevcut çalışmada, özellikle işverenin eşit işlem borcunun uygulanması, hisse senedi opsiyon planlarına yönelik koşulların (bekleme süresi, kullanım süresi, sona erme hükümleri vb.) oluşturulması, hisse senedi opsiyon planı sonucu elde edilen menfaatin hukuki niteliği, işyeri devri gibi hisse senedi opsiyon planı uygulanırken ortaya çıkabilecek durumların etkisi, hisse senedi opsiyon planından kaynaklanan uyuşmazlıklarda görevli mahkemenin neresi olduğu gibi konular ele alınmış ve tartışılmıştır.
Employee stock option plans provide the opportunity for employees, upon fulfilling specified conditions and/or waiting periods, to acquire shares of the company they work for or another company within the corporate group, either free of charge or at a predetermined, usually low, price. One of the fundamental reasons for granting stock option plans to employees is to retain qualified workforce. However, the legal basis for acquisition of company shares by employees is found in the Turkish Commercial Code, there are problems to be solved in terms of labour and social security law. Therefore, in the present study, issues such as the implementation of the employer’s equal treatment obligation, the establishment of conditions for stock option plans (waiting period, exercise period, termination provisions, etc.), the legal nature of benefits obtained through stock option plans, the impact of situations arising during the implementation of stock option plans such as workplace transfers, which court has jurisdiction in disputes arising from stock option plans are discussed and examined.
